Terms of Service

1. Agreement to Terms

By accessing or using Kreotic, LLC's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Services Description

Kreotic, LLC provides custom software development services, including but not limited to web application development, mobile application development, e-commerce solutions, and technical consulting. All services are provided on a project basis or retainer agreement as specified in individual service agreements.

3. Project Agreements

Each project engagement is governed by a separate written agreement that specifies:

• Project scope and deliverables

• Timeline and milestones

• Payment terms and pricing

• Intellectual property rights

• Support and maintenance terms

In the event of any conflict between these Terms of Service and a project-specific agreement, the project agreement shall prevail.

4. Payment Terms

Unless otherwise specified in your project agreement:

• Fixed-price projects require a 50% deposit before work begins and 50% upon completion

• Hourly consulting services are billed monthly with payment due within 15 days

• Retainer agreements require payment at the beginning of each month

• Late payments may incur a 1.5% monthly interest charge

• Work may be suspended if payments are more than 30 days overdue

5. Intellectual Property

Upon full payment for services rendered, all custom code and deliverables created specifically for your project will be transferred to you. However:

• Kreotic, LLC retains ownership of pre-existing code, frameworks, and tools

• Open-source components remain subject to their respective licenses

• Kreotic, LLC may showcase completed projects in portfolio materials unless otherwise agreed in writing

• You grant Kreotic, LLC a license to use project materials for promotional purposes

6. Confidentiality

Kreotic, LLC agrees to maintain confidentiality of all proprietary information shared during the course of our engagement. Both parties may execute a separate Non-Disclosure Agreement (NDA) for additional protection of sensitive information.

7. Warranties and Disclaimers

Kreotic, LLC warrants that:

• Services will be performed in a professional and workmanlike manner

• Deliverables will substantially conform to agreed specifications

• Work will not infringe upon third-party intellectual property rights

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL KREOTIC, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Kreotic, LLC's total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

9. Support and Maintenance

Post-launch support is included as specified in individual project agreements (typically 30-90 days). Extended support and maintenance services are available through separate agreements. Support includes bug fixes for issues present in delivered code but does not cover new feature development or issues caused by third-party modifications.

10. Termination

Either party may terminate a project engagement with 30 days written notice. Upon termination:

• Client is responsible for payment of all work completed to date

• Kreotic, LLC will deliver all completed work and project materials

• Intellectual property rights transfer only upon full payment

• Confidentiality obligations continue indefinitely

11. Changes to Terms

Kreotic, LLC reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms. For active projects, changes will apply only to new engagements unless mutually agreed otherwise.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
